Terms of Service

1. Agreement

By accessing or using ClausePulse ("the Service"), you agree to these Terms of Service ("Terms"). The Service is operated by Edward Wright Jones ("we," "us," or "our"), doing business as ClausePulse, Virginia, United States. If you do not agree, do not use the Service.

2. The Service

ClausePulse is an automated contract monitoring platform that extracts key dates and terms from uploaded vendor agreements and delivers alerts before renewal or cancellation deadlines. We provide the platform; you are responsible for the decisions you make based on the information it produces.

The Service does not constitute legal advice. Always consult qualified legal counsel before taking action on a contract.

3. Accounts

You must create an account to use ClausePulse. You are responsible for maintaining the security of your account credentials and for all activity under your account. Notify us immediately at legal@clausepulse.com if you suspect unauthorized access.

You must be at least 18 years old and authorized to enter contracts on behalf of your organization to use the Service.

4. Subscriptions and payment

• Paid plans are billed monthly in advance via Stripe.
• Subscriptions renew automatically unless cancelled before the renewal date.
• Prices are displayed in USD and may change with 30 days' notice.
• We do not offer refunds for partial billing periods unless required by applicable law.
• Failure to pay may result in suspension or termination of your account.

5. Free tier

The Free tier permits analysis of up to 3 contracts. Files uploaded under the Free tier are analyzed and not retained. Free tier access may be modified or discontinued at any time with reasonable notice.

6. Acceptable use

You agree not to:

• Upload documents you do not have the right to share.
• Attempt to reverse-engineer, scrape, or otherwise extract the underlying software or models.
• Use the Service for any unlawful purpose.
• Share your account credentials with unauthorized third parties.
• Interfere with or disrupt the Service or its infrastructure.

7. Your content

You retain ownership of all contracts and documents you upload. By uploading content, you grant us a limited license to process that content solely to provide the Service to you. We do not use your contract content to train AI models or share it with third parties beyond the processors listed in our Privacy Policy.

8. Accuracy of analysis

ClausePulse uses AI to extract contract information. While we work to make extraction accurate, AI systems can make errors. You should independently verify all extracted dates, terms, and obligations before relying on them for business decisions. We are not liable for missed renewals or other outcomes resulting from inaccurate extraction.

9. Limitation of liability

To the maximum extent permitted by applicable law, ClausePulse and Edward Wright Jones shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits or missed contract cancellation windows, even if advised of the possibility of such damages.

Our total liability to you for any claim arising under these Terms shall not exceed the fees you paid to us in the 12 months preceding the claim.

10. Disclaimer of warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

11. Termination

You may cancel your subscription at any time through your account settings. We may suspend or terminate your account for violation of these Terms, with or without notice. Upon termination, your right to use the Service ends immediately.

12. Governing law

These Terms are governed by the laws of the Commonwealth of Virginia, United States, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Virginia.

13. Changes to these Terms

We may update these Terms from time to time. Continued use of the Service after changes are posted constitutes acceptance of the revised Terms. Material changes will be communicated by email to registered users with at least 14 days' notice.
